1. Parties, Scope, and Acceptance
This End User License Agreement (“EULA”) is between you (the “User”) and GUARDEER PRIME (“GUARDEER,” “we,” or “us”), the licensee identified in the applicable third-party market-data agreement. It governs your access to and use of Third-Party Market Data, the GUARDEER PRIME platform, and KAIRI Derived Signals.
You must affirmatively accept this EULA while signed in. Acceptance is personal to your authenticated account. GUARDEER may retain an acceptance record containing the EULA version, user and account identifiers, date and time, device or browser information, and security metadata needed to demonstrate and protect authorized access. If you use the Service for an organization, you represent that you are authorized to bind that organization. Mandatory rights that cannot lawfully be waived remain unaffected.
2. Definitions
“Third-Party Market Data” means quotes, historical chart data, economic-calendar information, reference prices, metadata, and related content licensed to GUARDEER from one or more data providers. “KAIRI Derived Signal” means a direction, status, confidence measure, level, timestamp, alert, explanation, or other output generated by GUARDEER logic from market information. It is a derived informational output and is not raw market data, an order, or a promise of performance. “Authenticated User” means a natural person using a valid, personal GUARDEER account whose access controls have been successfully verified. “Service” means the authenticated GUARDEER PRIME application, related interfaces, and features made available under this EULA.
3. Limited End-User License
Subject to this EULA, payment of any applicable subscription fees, and continued authorization by our data providers, GUARDEER grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to view and internally use the Service, Third-Party Market Data, and KAIRI Derived Signals for your own lawful informational purposes. The license permits on-screen use inside the authenticated Service only. No ownership right is transferred. All rights not expressly granted are reserved by GUARDEER and the applicable data owners.
4. Account and Security Duties
You must provide accurate account information, keep credentials and verification factors confidential, use only your own account, and promptly notify supportguardeer@gmail.com if you suspect unauthorized access or a security incident. You may not share, sell, transfer, pool, or lend an account; allow another person to use your credentials; defeat device or session controls; or create accounts to evade plan, user-count, rate, territory, suspension, or security restrictions.
You are responsible for activity performed through your account to the extent permitted by law. GUARDEER may require re-authentication, revoke sessions, rate-limit access, or suspend an account to protect users, providers, or the Service.
5. Prohibited Uses
You must not extract, scrape, crawl, record, download in bulk, mirror, cache for redistribution, or create a database from Third-Party Market Data or KAIRI Derived Signals, except for a limited personal screenshot or export feature expressly provided by GUARDEER. You must not copy, republish, broadcast, publicly display, sell, license, sublicense, redistribute, syndicate, white-label, commercially exploit, or make the data or signals available to another person or system.
You must not access undocumented interfaces; derive or expose provider credentials; bypass authentication, authorization, rate limits, region controls, or technical safeguards; reverse engineer the Service; probe for vulnerabilities without written permission; introduce harmful code; use automation that creates excessive load; or use the Service for an unlawful, deceptive, abusive, manipulative, or sanctions-prohibited purpose. You must not remove or alter ownership, copyright, trademark, attribution, warning, freshness, provenance, or risk notices shown in the Service.
6. KAIRI Derived Signals
KAIRI Derived Signals are informational, non-executable advisory outputs. They do not place, route, manage, or close broker or exchange orders. A User must independently decide whether and how to act. A signal may be unavailable, delayed, stale, revised, superseded, withheld, or marked as abstained when data, integrity, calibration, market conditions, account status, or safety checks do not meet the Service’s requirements.
Unless the Service expressly states otherwise for a particular validated model and period, no signal is represented as statistically validated, profitable, suitable for any User, or predictive of future performance. Confidence or probability labels are model outputs, not guarantees.
7. Market-Data Conditions
Third-Party Market Data may be delayed, incomplete, inaccurate, unavailable, corrected, or inconsistent with another venue or source. Reference prices may differ from executable bid, ask, spread, liquidity, slippage, fees, or broker prices. GUARDEER may change a data source, endpoint, calculation, symbol mapping, schedule, refresh rate, or display when required for quality, security, provider compliance, or continuity. Historical information may be corrected after publication.
You must independently verify any information important to a decision. Market-data display and derived signals are subject to provider availability, contractual limits, maintenance, network conditions, and events beyond GUARDEER’s reasonable control.
8. No Investment Advice; No Fiduciary Relationship
The Service, Third-Party Market Data, and KAIRI Derived Signals are not investment, legal, tax, accounting, or personalized financial advice; are not a recommendation, solicitation, offer, or endorsement to buy, sell, or hold an instrument; and do not create a broker-client, adviser-client, fiduciary, agency, partnership, or joint-venture relationship.
Trading and investing can cause rapid and substantial loss, including loss exceeding deposited funds where leverage is used. You are solely responsible for your objectives, risk tolerance, jurisdiction, broker terms, position sizing, orders, and independent professional advice.
Past, simulated, backtested, hypothetical, or model-indicated results do not guarantee future results. Hypothetical results have material limitations and may not reflect liquidity, spreads, slippage, fees, latency, execution, market impact, or human behavior.
9. Provider and Intellectual-Property Rights
Third-Party Market Data and all associated rights remain owned by the applicable provider or its licensors. GUARDEER owns or licenses the Service, software, interface, documentation, and its independent derived-product intellectual property, subject to provider ownership of the underlying data.
No third-party provider sponsors, endorses, recommends, guarantees, or assumes responsibility for GUARDEER, KAIRI, or any Derived Signal merely because its data is used. Any provider attribution displayed by GUARDEER is informational and must not be removed or altered.
Nothing in this EULA grants you a provider API key, direct provider access, trademark license, source-data redistribution right, or right to use a provider’s name or logo.
10. Privacy and Security
GUARDEER processes account, authentication, device, acceptance, alert-preference, access, and operational-log information to provide and secure the Service, enforce this EULA, investigate misuse, satisfy provider and legal obligations, and maintain evidence of authorized access. The Privacy Notice describes personal-data practices in more detail.
You must not submit sensitive personal information, trading credentials, secret keys, or broker passwords to fields not expressly designed and secured for that purpose. If you become aware of unauthorized data access, disclosure, extraction, or account compromise involving the Service, you must notify supportguardeer@gmail.com without undue delay and cooperate with reasonable containment steps.
11. Compliance, Territory, and Export Controls
You may access the Service only where lawful and where GUARDEER and its providers authorize availability. You are responsible for compliance with laws that apply to you, including financial-services, market-conduct, consumer, sanctions, export-control, and data-use rules.
You must not access or use the Service from, for the benefit of, or in connection with a jurisdiction, person, entity, or purpose prohibited by applicable sanctions or export-control law. GUARDEER may restrict territories or require verification when reasonably necessary for compliance.
12. Suspension and Termination
GUARDEER may suspend, limit, or terminate access immediately when reasonably necessary to address a suspected breach, security risk, provider instruction, payment failure, legal requirement, misuse, excessive load, sanctions concern, or threat to the Service or another person.
Your rights to Third-Party Market Data and provider-dependent features automatically end when GUARDEER’s relevant provider license ends or no longer permits the use. On termination, you must stop accessing and using the affected data, signals, copies, and exports and delete any material retained contrary to this EULA.
Sections concerning ownership, restrictions, disclaimers, liability, compliance, dispute terms, and records survive to the extent necessary to enforce their purpose.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, THIRD-PARTY MARKET DATA, AND KAIRI DERIVED SIGNALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GUARDEER DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND RESULTS.
GUARDEER DOES NOT WARRANT THAT ACCESS WILL BE CONTINUOUS OR ERROR-FREE, THAT A SIGNAL WILL OCCUR AT A PARTICULAR TIME, THAT AN ALERT WILL BE DELIVERED, OR THAT ANY DATA, MODEL, SIGNAL, PRICE, LEVEL, OR EXPLANATION WILL BE CORRECT OR SUITABLE.
A THIRD-PARTY PROVIDER IS NOT RESPONSIBLE TO YOU FOR GUARDEER’S SERVICE, DERIVED OUTPUTS, USER INTERFACE, DECISIONS, OR REPRESENTATIONS. Nothing in this section excludes a warranty or remedy that cannot lawfully be excluded.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUARDEER, ITS PROVIDERS, LICENSORS, AFFILIATES, AND THEIR PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR TRADING CAPITAL; OR LOSS ARISING FROM A TRADE, INVESTMENT, MISSED ALERT, DATA ERROR, DELAY, OUTAGE, OR UNAUTHORIZED ACCOUNT USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUARDEER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID GUARDEER FOR THAT SERVICE DURING THAT PERIOD OR (B) USD 100.
These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose, but do not exclude liability that cannot lawfully be limited, including liability for fraud or willful misconduct where applicable.
15. User Responsibility and Indemnity
You are responsible for your decisions, orders, publications, account activity, and compliance. To the extent permitted by law, you will defend, indemnify, and hold harmless GUARDEER and its licensors from third-party claims, damages, and reasonable costs arising from your unlawful use, prohibited redistribution, credential sharing, rights infringement, or material breach of this EULA.
This indemnity does not apply to the extent a claim results from the indemnified party’s fraud, willful misconduct, or liability that cannot lawfully be shifted.
16. Changes to the Service or EULA
GUARDEER may modify the Service or this EULA for legal, provider, security, technical, or business reasons. Material EULA changes will be identified by a new version and require renewed affirmative acceptance before continued access to affected Third-Party Market Data or KAIRI Derived Signals.
No unpublished or unaccepted change binds a User retroactively, except where immediate action is required by law or to protect security and is permitted by applicable law.
17. Governing Rules and Disputes
This EULA is governed by the law applicable at GUARDEER’s principal place of business, without regard to conflict-of-law rules, except that mandatory consumer protections and mandatory local jurisdiction rights remain unaffected.
Before filing a claim, the parties will attempt in good faith for at least thirty days to resolve the matter after written notice to supportguardeer@gmail.com, unless urgent injunctive relief is reasonably necessary to protect data, security, intellectual property, or access controls.
If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign this EULA without written consent; GUARDEER may assign it with the Service or business, subject to applicable law.
18. Entire Agreement and Contact
This EULA, together with any applicable subscription terms and Privacy Notice presented to you, is the agreement governing the licensed end-user use described here. If a conflict concerns Third-Party Market Data or provider-dependent Derived Signals, the term that more strongly protects provider ownership, access control, non-redistribution, security, and compliance will apply to the maximum extent permitted by law.
